1. Acceptance of Terms

By accessing or using TeamChannel (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service. TeamChannel reserves the right to modify these Terms at any time. We will notify users of material changes through the Service or via email. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

TeamChannel is a cloud-based coaching management platform that provides tools for team management, scheduling, video analysis, performance tracking, and communication. The Service is offered on a subscription basis with various tiers providing different levels of features, storage, and capabilities.

3. User Accounts

3.1 Account Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify TeamChannel immediately of any unauthorized use of your account.

3.2 Account Eligibility

You must be at least 18 years of age to create a TeamChannel account. By creating an account, you represent and warrant that you have the legal capacity to enter into these Terms.

3.3 Account Termination

TeamChannel reserves the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, fraudulent activity, or extended periods of inactivity. You may cancel your account at any time through your account settings.

4. Subscription and Payment

4.1 Subscription Plans

TeamChannel offers various subscription tiers with different features, storage limits, and capabilities. Details of each plan are available on our pricing page. TeamChannel reserves the right to modify, add, or remove subscription plans at any time.

4.2 Billing

Paid subscriptions are billed on a recurring basis, either monthly or annually, depending on the billing cycle you select. All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities, unless otherwise stated.

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel your subscription before the renewal date. You authorize TeamChannel to charge your payment method on file for continued access to the Service.

4.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period. No partial refunds will be issued for unused time remaining in a billing period, except as required by applicable law.

4.5 Free Trials

TeamChannel may offer free trial periods for certain subscription plans. At the end of the free trial period, your subscription will automatically convert to a paid subscription and your payment method will be charged unless you cancel before the trial expiration date.

4.6 Price Changes

TeamChannel reserves the right to change subscription pricing at any time. For existing subscribers, price increases will take effect with at least 30 days' prior notice. Price changes will not affect the current billing cycle.

5. User Content and Data

5.1 Your Content

You retain all ownership rights to content you upload, create, or share through the Service (“User Content”), including but not limited to videos, images, documents, player data, and communications.

5.2 License to TeamChannel

By uploading or sharing User Content through the Service, you grant TeamChannel a worldwide, non-exclusive, royalty-free license to use, store, process, and display such content solely as necessary to operate and provide the Service.

5.3 Content Restrictions

You agree not to upload, share, or transmit any content that:

  • Is illegal or promotes illegal activities
  • Infringes on any third party's intellectual property rights
  • Contains malware, viruses, or other harmful code
  • Is hateful, threatening, defamatory, or discriminatory
  • Violates the privacy rights of others
  • Contains information about minors without proper parental or guardian consent

5.4 Data Protection

TeamChannel implements industry-standard security measures to protect your data. However, you acknowledge that no method of electronic storage or transmission is 100% secure. You are responsible for maintaining your own backups of critical data.

5.5 Data Retention

Upon account termination, TeamChannel will retain your data for a period of 30 days, after which it will be permanently deleted. You are responsible for exporting any data you wish to retain before account termination.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use any automated means to access the Service, including bots, scrapers, or crawlers
  • Reverse engineer, decompile, or disassemble any portion of the Service
  • Resell, sublicense, or redistribute the Service without written permission
  • Send unsolicited communications or spam through the Service
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation

7. Intellectual Property

7.1 TeamChannel IP

The Service, including its software, design, text, graphics, logos, icons, and all other content created by TeamChannel, is the exclusive property of TeamChannel and is protected by copyright, trademark, and other intellectual property laws.

7.2 Trademarks

TeamChannel, the TeamChannel logo, and all related names, logos, product and service names, designs, and slogans are trademarks of TeamChannel. You may not use such marks without the prior written permission of TeamChannel.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you acknowledge that TeamChannel may use such feedback without restriction or obligation to you.

8. Third-Party Services

The Service may integrate with or contain links to third-party services. These third-party services are governed by their own terms and privacy policies. TeamChannel is not responsible for the content, policies, or practices of any third-party services and does not endorse or assume liability for them.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

10. Disclaimers and Limitations of Liability

10.1 “As Is” Service

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.2 No Guarantee of Availability

TeamChannel does not guarantee that the Service will be uninterrupted, timely, secure, or error-free. The Service may be subject to interruptions for maintenance, upgrades, or other reasons. TeamChannel may modify or discontinue any feature of the Service without notice.

10.3 Limitation of Liability

To the maximum extent permitted by law, TeamChannel and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service. In no event shall TeamChannel's total liability exceed the amount you paid to TeamChannel during the twelve (12) months immediately preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless TeamChannel and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

12. Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TeamChannel is incorporated, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the jurisdiction where TeamChannel is incorporated.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Minors and Student Data

Organizations using TeamChannel for teams or programs involving minors must obtain proper parental or guardian consent before adding any minor to the platform. Such organizations must comply with all applicable laws regarding children's data, including the Children's Online Privacy Protection Act (COPPA) and the Family Educational Rights and Privacy Act (FERPA). Organizations are responsible for ensuring that information about minors is appropriately protected and not shared without proper authorization.

14. DMCA and Copyright

If you believe that content on the Service infringes your copyright, please contact us at legal@teamchannel.app with the following information:

  • Identification of the copyrighted work you claim has been infringed
  • Identification of the material that is claimed to be infringing and its location on the Service
  • Your contact information, including name, address, telephone number, and email address
  • A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
  • A statement, made under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner

15. Export Compliance

You agree to comply with all applicable export and import control laws and regulations. You shall not access or use the Service from any country or territory that is subject to a U.S. government embargo or that has been designated as a “terrorist-supporting” country.

16. Modification of Service

TeamChannel reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. TeamChannel shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

17. Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without the prior written consent of TeamChannel. TeamChannel may assign these Terms without restriction.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and TeamChannel regarding the use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
